Herd Labs, Inc., a Delaware corporation ("Herd Labs," "Company," "we," "us," or "our"), offers its AI-powered blockchain interface services, as outlined below, and related content through our website(s) located at (www.herd.eco) (the "Site"), as well as through applications, application programming interfaces ("APIs"), and related technologies, including any updates, enhancements, or new features or functionality (collectively with the Site, herein referred to as the "Service").
Subject to your compliance with these Terms of Service and any other applicable agreements, Herd Labs grants you a limited, non-exclusive, non-transferable license to access and use the Service during the term of this agreement. Herd Labs reserves the right to suspend or terminate your access to the Service at any time, for any or no reason, in its sole discretion.
Access to and use of the Service are governed by: (a) the terms and conditions set forth in these Terms of Service (referred to herein as the "Terms of Service" or "Terms" as updated periodically); (b) the API License Agreement, which applies specifically to any use of our APIs and related development tools ("API Terms"); (c) the Privacy Policy, as amended from time to time; (d) Tenderly's Terms of Service (https://tenderly.co/terms-of-service), which apply to transaction simulation services ("Tenderly Terms"); (e) Blockaid's Terms of Service (https://www.blockaid.io/legal/terms-of-use), which apply to security screening services ("Blockaid Terms"); (f) Privy's Terms of Service (https://www.privy.io/user-terms-of-service), which apply to authentication services ("Privy Terms"); (g) Google Cloud Platform's Terms of Service (https://cloud.google.com/terms), which apply to cloud infrastructure services ("GCP Terms"); (h) Farcaster's Terms of Service (https://farcaster.xyz/~/terms-of-use), which apply to social integration services ("Farcaster Terms"); (i) applicable analytics service providers' terms of service when such services are implemented; and (j) any additional agreements or terms that we may present to you from time to time.
By using our Service, you agree to our Terms, the Tenderly Terms, the Blockaid Terms, the Privy Terms, GCP Terms, and Farcaster Terms, which may be updated periodically.
For API access: both these Terms of Service and the API License Agreement apply. The API License Agreement takes precedence regarding API usage if conflicts arise between the agreements.
Use of the Service, including browsing the Site or accessing APIs, confirms your acceptance of these Terms of Service, Privacy Policy, and if applicable, the API License Agreement. Access to and use of the Service is prohibited without accepting these terms.

We use Tenderly as our transaction simulation service provider. By using our simulation features, you agree to be bound by Tenderly's Terms of Service (available at https://tenderly.co/terms-of-service) as they relate to your use of transaction simulation and testing services. Tenderly enables users to preview transaction outcomes before executing them on-chain, which is integral to our safety features.
We use Blockaid as our security screening service provider. By using our security features, you agree to be bound by Blockaid's Terms of Service (available at https://www.blockaid.io/legal/terms-of-use) as they relate to your use of transaction security screening and fraud prevention services. Blockaid provides real-time threat detection and helps protect users from malicious contracts and transactions.
We use Privy as our authentication service provider. By using our authentication features, you agree to be bound by Privy's Terms of Service as they relate to your use of user authentication and wallet connection services. Privy enables secure user login and blockchain wallet integration, which is integral to our platform access and security features.
We use Google Cloud Platform (GCP) as our cloud infrastructure service provider. By using our Services, you agree to be bound by Google Cloud Platform's Terms of Service as they relate to data processing, storage, and infrastructure services. GCP provides the underlying computing infrastructure and data storage capabilities essential to our Service operations within the United States.
We use Farcaster as our social integration service provider. By using our social features, you agree to be bound by Farcaster's Terms of Service as they relate to social profile integration and content sharing services. Farcaster enables enhanced recommendations through social and wallet relationship data and provides deep-linking capabilities for sharing Trails.
We may integrate with analytics service providers such as Amplitude. When implemented, by using our Services with analytics features enabled, you agree to be bound by the applicable analytics provider's terms of service as they relate to usage analytics, performance monitoring, and service optimization. These services help us understand user interactions and improve our platform experience.

To create an account, you must complete the Company's onboarding process in its entirety as requested by the Company. You may choose to create your account using blockchain wallet authentication or traditional email registration. By connecting a blockchain wallet, you authorize us to access certain wallet information, including but not limited to your wallet address and transaction history, in accordance with our Privacy Policy.
While not required at this time, the Company may request a Statement of Use in the future as part of your continued use of the Services. If requested, you must submit a Statement of Use describing your intended use of the Services. You represent and warrant that all information provided in any such Statement of Use will be truthful, accurate, and complete, and you agree to promptly notify the Company of any changes. The Service and Site may be subject to import and export laws in the United States and elsewhere, which may include restrictions on destinations, users, and end use, and you must comply with any and all such import and export Laws that apply in connection with the Service and Site. You represent, warrant, and covenant that you are not: (a) located in, or a resident or a national of, any country subject to a U.S. government embargo or other restriction, or that has been designated by the U.S. government as a "terrorist supporting" country; or (b) on any of the U.S. government lists of restricted end users.

Such causes include acts of God, natural disasters, extreme weather events, government actions, sanctions, regulatory changes, cyber attacks, infrastructure failures, internet outages, pandemics, epidemics, public health emergencies, war, terrorism, civil unrest, labor disputes, and third-party service provider failures including but not limited to Tenderly, Blockaid, Privy, Google Cloud Platform, Farcaster, analytics service providers, or blockchain networks. Given the nature of our Service, force majeure events specifically encompass blockchain network failures, congestion, protocol upgrades, and other distributed ledger technology disruptions that may affect our ability to provide AI-powered blockchain analysis and transaction services.
During any force majeure event, we will use commercially reasonable efforts to minimize service disruptions and will resume normal operations as soon as reasonably practicable. We will provide notice of force majeure events through our Service interface or other reasonable means when feasible. The affected party's obligations under these Terms will be suspended during the continuation of such circumstances, and the time period for performance of such obligations will be extended for a period equal to the duration of the force majeure event. If a force majeure event continues for more than sixty days, either party may terminate these Terms upon written notice to the other party.
These Terms, together with our Privacy Policy and any applicable API License Agreement, constitute the entire agreement between you and Herd Labs regarding the Service.
